Terms and conditions
30 September 2026
1. Who we are and what these terms cover
These terms are a contract between MAMO LABS LTD, a company registered in Scotland with company number SC903926 and registered office at Office 695, 18 Young Street, Unit Lge, Edinburgh, Scotland, EH2 4JB (“we”), and the business that creates a Fisqoo account (“you”). Fisqoo is our software, sold as a subscription. By creating an account, paying, or clicking to accept, you agree to these terms, the privacy notice and the cookie notice. If you accept for a company, you confirm you have authority to bind it.
Fisqoo is sold only to businesses: a company, a sole trader or a professional partnership, acting in the course of a trade, business, craft or profession. It is not sold to a consumer buying for private use. By creating an account you confirm that you are that business. If you are buying for private use, do not register. A rule the law does not let a contract exclude still applies if, despite that confirmation, you were a consumer.
- The contract is formed when the account is created or when you click to accept, whichever comes first.
- These terms, the privacy notice and the cookie notice together govern Fisqoo. Each notice governs its own subject.
- If we sign a separate written agreement with you, that agreement prevails over these terms for its subject.
- If a translation conflicts with the English text, the English text prevails, except where a mandatory rule says otherwise. Sections 27 and 28 repeat this.
2. Definitions
In these terms the words below have the meanings given here. Headings are for reading only and do not change the meaning of a section.
- “We” and “us” mean MAMO LABS LTD, company number SC903926.
- “You” means the business that creates the Fisqoo account, including a sole trader or a professional partnership. You must be at least 18.
- “Fisqoo” and “the service” mean the hosted software we sell as a subscription, including its client portal.
- “Content” means the data, files and text you put into Fisqoo, including what your collaborators and clients add through the access you give them.
- “Consumer” means a natural person acting wholly outside their trade, business, craft or profession. We do not contract with a consumer. Creating the account is your confirmation that you are not one.
- “Plan” means the subscription tier you buy (for example Starter or Pro), with the limits shown on the pricing page and at checkout.
- “Collaborator” means a person you invite to work inside your account.
- “Your client” means a customer of yours to whom you give portal access or send documents through Fisqoo.
- “Integration” means a third-party connection you switch on, such as Google, WhatsApp, an e-invoicing operator or a bank connection.
- “AI features” means the functions that draft text or extract fields from documents using the providers named in the privacy notice.
- “Business day” means a day other than a Saturday, a Sunday or a public holiday in Scotland.
- “In writing” includes email to the addresses in section 27.
- Tax and business details you enter must be accurate and kept up to date. A wrong tax identifier is your error, not ours.
3. Your account
You must be at least 18. You must give accurate business and tax details and keep them up to date. You are responsible for your password, any second factor, and everything done through your account until you tell us it is compromised. Tell us promptly at support@fisqoo.com if you suspect misuse.
- One account is for one business. People you invite act as you.
- Keep the password and any second factor to yourself. We will not ask for the password by email.
- Keep the account email working. Notices under section 27 go there and count as delivered there.
- We may ask you to confirm a business detail, for example a VAT number, and we may refuse or close an account created with false details.
- Tell support@fisqoo.com as soon as you suspect misuse. We can suspend the account while that is checked.
- Export your content before you close the account. Section 23 and the privacy notice describe what happens after closure.
4. Collaborators and your clients
You can invite collaborators to work inside your account, and you can give your clients access to a portal where they see the documents you choose to share, such as quotes, invoices and files. Everyone you invite acts under your account: you answer for what they do, you choose what they see, and you remove access when it should end. Your clients are your customers, not ours. Showing them the portal does not create a contract between them and us, and what happens between you and your client stays between you and your client.
- A collaborator acts as you. Their actions inside the account are your actions.
- You grant, limit and remove access. Review it when someone leaves.
- A portal recipient sees the content you decide to share. You confirm you have the right to share it.
- A dispute between you and your client — an invoice, a project, a payment — is yours. We are not a party to it and we do not mediate it.
- If your client pays you through a payment link, that payment runs between you, your client and the payment provider, under that provider’s terms.
5. The service, plans and changes
We provide Fisqoo as hosted software for managing clients, projects, time, invoices, expenses and related workflows, within the limits of the plan you buy. Plans and prices are those shown on the pricing page and at checkout. Starter and Pro include the same modules. Starter has lower usage limits. Pro has higher limits, priority support and collaborators. We may change limits, provided we do not remove the core of a paid plan during a period you have already paid for without the notice in section 27.
We host the service. We do not send our staff into your office, and we do not become your accountant, tax agent or lawyer. Fisqoo evolves: we add, change and retire features. If a change materially reduces the core of a plan during a period you have already paid for, we tell you before it applies. You may cancel before it applies. The period already paid is not refunded.
- Included: the modules of the plan you buy, hosting, and the support level of that plan.
- Not included: accountancy, tax returns, legal advice, a statutory invoice archive, or a promise that a figure is correct.
- Support runs by email at support@fisqoo.com. Pro requests are handled with priority. We do not promise a response time unless we have agreed one with you in writing.
- Limits may change. We do not remove the core of a period you have already paid for without the notice in section 27.
6. Trials, promotions and referral credits
Where we offer a free trial, a promotional price or a referral credit, its conditions are shown when it is offered. A credit reduces future subscription fees on the account that earned it. It has no cash value, it cannot be transferred or paid out, and it lapses when the account closes. We may cancel a trial, a promotion or a credit obtained through abuse, such as duplicate accounts, self-referrals or a breach of section 17.
- A trial ends at the stated time. If it turns into a paid subscription, we say so clearly before you start it.
- One trial per business, unless we state otherwise in the offer.
- A promotional price applies for the stated period. After it, the list price of the plan applies.
- A referral credit is applied to fees only. It is not money, and we can correct a credit granted by mistake.
- Abuse cancels the trial or the credit, and section 18 can apply to the account.
7. Prices, payment and taxes
Prices are shown exclusive of VAT. UK VAT or another indirect tax is added when the law says it must be. Payment is taken by Stripe in the currency shown at checkout, monthly or yearly, in advance. The subscription renews for the same period until you cancel.
If a payment fails, we may retry it and we may suspend access until it succeeds. If you reverse through your bank or card issuer a charge that was properly due, we may suspend the account while the dispute runs and recover the amount and our reasonable costs where the law allows it. Fees and exchange rates applied by your own bank or card issuer are yours.
- Prices are exclusive of VAT. Tax is added only when the law requires it.
- The tax applied follows the billing country and tax status you give us. Keep them accurate.
- An obvious price mistake does not bind us. We tell you, and you can cancel before a renewal at the corrected price.
- We may change prices for a future period by telling you before that period starts. If you do not accept the new price, cancel before the renewal.
- Receipts and invoices for the subscription are available in the product or from the payment provider.
8. Renewal and cancellation
You can cancel in the product. Cancellation stops the next renewal. You keep access until the end of the period you have already paid for. That period is not refunded.
- The subscription renews for the same period until you cancel. Cancellation stops the next renewal and leaves the period already paid.
- A purchase for your trade, business, craft or profession is not refunded for that period.
- A plan change applies as shown at the moment you make it in the product.
- Section 23 says how the contract ends for other reasons. Section 9 says there is no consumer withdrawal.
9. No consumer withdrawal
The 14-day consumer withdrawal does not apply. Fisqoo is offered only to a business, including a sole trader or a professional partnership. Creating an account is your confirmation that you act in the course of a trade, business, craft or profession, and not for private use. A period already paid is not refunded. Cancellation works as section 8 says.
- We do not offer Fisqoo to a natural person buying for private use. If that is you, do not create an account.
- There is no 14-day withdrawal and no refund of a period that has already started.
- A rule the law does not let a contract exclude still applies if, despite your confirmation, you were a consumer.
10. Not professional advice
Figures, tax hints, deadlines, wording and AI output in Fisqoo are tools for you to check. They are not advice. You are responsible for your tax returns, your invoices, the VAT you charge, and the decisions you take. You should use an accountant or a licensed adviser where your situation needs one.
- We do not act as your accountant, tax agent or lawyer.
- A deadline shown in the product is a reminder, not a filing you have made.
- You decide what to send to a client and what to file with a tax authority.
11. Electronic invoicing
Where electronic invoicing is available and you switch it on, Fisqoo can prepare a file and pass it to an operator that talks to the relevant tax network (in Italy, the Sistema di Interscambio). You remain the taxable person. You check the invoice before it is sent. Rejections, delays, penalties and the content of the invoice stay with you. We do not provide conservazione sostitutiva and we are not your long-term legal archive. The feature works only while the operator and the tax network accept the file.
- You remain the taxable person on the invoice.
- You check the file before it is sent. We do not review it for tax correctness.
- A rejection, a delay or a penalty that comes from content you did not check stays with you.
- We do not provide conservazione sostitutiva and we are not your statutory archive. Keep the copies the law requires you to keep.
- The feature stops if the operator or the tax network stops accepting the file.
12. Messages you send through Fisqoo
Fisqoo can send emails and, if you connect WhatsApp, messages to your clients on your behalf: invoices, quotes, reminders, portal links. You are the sender. You choose the recipients and the content, and you must have the right to contact them, including a lawful basis for their personal data and any consent the marketing rules require. We may block or slow sending that looks like abuse or spam, to protect delivery for every customer.
- You are the sender. We are the technical channel.
- No purchased lists and no unsolicited marketing through Fisqoo.
- A delivery can fail. A bounce, a filter or a full mailbox on the recipient side is outside our control.
- Keep your own copy of a message the law requires you to keep.
- The rules of the channel, for example the WhatsApp business terms, also apply to what you send through it.
13. Your content and our licence
You own the content you put into Fisqoo. You give us a licence to host, copy and display it only so we can provide the service, keep backups, and meet the law. You promise that you have the right to upload it, including personal data about your clients and staff.
Our backups exist to restore the service after a failure. They are not an archive service for you: keep your own copy of what the law requires you to keep. We may use anonymised, aggregated usage data, which does not identify you or a client of yours, to operate and improve the service. We do not use your content to train an AI model of ours; the privacy notice describes how the AI providers handle the content of a request.
- You confirm you have the right to upload the content, including other people’s personal data in it.
- We can remove or freeze content after notice to you if a law or a court requires it, or if it plainly breaks section 17.
- The licence ends when the content is deleted, except for a backup that ages out on its own cycle.
- Aggregated data never identifies you or a client of yours.
14. When we are your processor
Where that content includes personal data and we process it for you, we are your processor. Creating the account and accepting these terms is that contract. You do not sign a second document, and we do not email a separate copy for signature. The terms on the site are the copy. For that processing we will: follow your documented instructions (these terms and the settings you use in the product are those instructions); make sure people who handle it are under a duty of confidence; apply the security described in the privacy notice; use the processors listed in the privacy notice, which you authorise in general, and tell you of a material change by updating that notice; help you answer a data-subject request, taking into account the nature of the processing; help you with a legally required impact assessment where our information is relevant; tell you without undue delay after we become aware of a personal-data breach affecting your content; delete or return your content at the end of the service, subject to section 8 of the privacy notice; and make available the information reasonably needed to show compliance with Article 28. An audit is a written request, not an open right to walk into a data centre. We may refuse an instruction that would break the law, and we will tell you.
You can export your content from the product while the account is open. After the deletion window in the privacy notice, we do not keep a copy you can ask us to restore, other than a backup that ages out on its own cycle.
15. Artificial intelligence
AI features draft text or extract fields from documents you submit. You check the result before you rely on it, send an invoice, or file anything with a tax authority. We do not promise that an extraction or a suggestion is complete or correct. The privacy notice names the provider and the transfer safeguard.
- Production text features use Groq. Anthropic or xAI receive the same kind of content only if that provider is switched on for the tier you are using.
- The output is a draft. You check it before you send an invoice or file anything.
- A tax charge, a penalty or a rejected e-invoice that comes from an unchecked draft is covered by section 25, not by a promise that the draft was right.
16. Integrations you switch on
Google, WhatsApp, inbound email, open-banking connections and similar tools run only if you connect them or we enable them for your account. Those providers’ terms also apply to what you do on their side. You can disconnect them. We are not responsible for an outage or a change inside a third-party network.
Where a connection imports data from a bank, a payment provider or another system, Fisqoo shows what that system returns. A reconciliation suggestion is a proposal: you confirm a match before it becomes your record. A figure that arrives wrong or late from the other side remains a figure of the other side.
- A connection starts only when you switch it on, or when we enable it for your account.
- The other party’s terms apply to what happens on their side.
- You can disconnect. We do not promise that their network stays available or unchanged.
- A provider can change or close its interface. If that makes a connection impossible, that is not a breach by us.
17. Acceptable use
You will not: break the law with the service; upload malware; try to read another customer’s data; probe or overload the systems; resell Fisqoo as your own bureau product without our written agreement; or scrape the service to build a competing model. We may suspend an account that does these things, and we will tell you unless the law or the security of other customers says we should not.
- No unlawful use, malware, or access to another customer’s data.
- No probing, overloading, or scraping to build a competing model.
- No resale of Fisqoo as your own bureau product without our written agreement.
- No content that infringes another person’s rights, and no use of the service to harass or defraud.
- No circumvention of plan limits, for example by splitting one business across accounts to dodge a limit.
- We may suspend under section 18, and we tell you unless the law or other customers’ security says not to.
18. Suspension
We may suspend access, in whole or in part, when a payment has failed and remains unpaid, when we see a serious security risk such as a compromised credential or an attack coming from the account, when you break section 17 or another material term, or when a law or an authority requires it. We prefer suspension over ending the contract where that is reasonable, we tell you unless the law or the security of other customers says not to, and we lift the suspension when its reason ends.
- Grounds: unpaid fees, a serious security risk, a breach of section 17 or another material term, or a legal requirement.
- We tell you about a suspension unless the law or the security of other customers prevents it.
- The suspension is lifted when the reason ends, for example when the payment succeeds.
- During a suspension caused by your non-payment or your breach, the subscription and its fees keep running.
- A suspension applied on these grounds is not a breach by us. Section 25 still applies.
19. Intellectual property and feedback
We own Fisqoo, the software, the design and the marks. You receive a non-exclusive right to use the service during a paid subscription. You do not receive the source code. If you send us a suggestion, we may use it without owing you a fee. You keep ownership of your content.
- The licence lasts while the subscription is paid and these terms are in force.
- You may not copy the software, reverse engineer it except where the law forbids that limit, or remove our marks.
- Your content stays yours. Our software, design and marks stay ours.
20. Confidentiality
Through this contract each of us can learn non-public information about the other: your business data on our side, our non-public product and security information on yours. Each of us uses that information only for this contract and protects it with reasonable care. This duty does not cover information that is public, that was already lawfully known, or that a law or a court orders to be disclosed; in that last case we tell you when the law allows us to.
- The duty runs both ways and continues after the contract ends, for as long as the information stays confidential.
- Personal data is governed by the privacy notice and section 14. This section protects business secrets.
- Disclosure required by a law or a court is not a breach. We tell you when the law allows.
21. Beta and experimental features
A feature marked beta, preview, coming soon or experimental is offered as it stands, for you to try. It can change, pause or disappear without the notice of section 27, its results deserve extra checking, and it may carry separate conditions shown when you switch it on. Section 25 applies to it in full.
- A beta feature can change or disappear without the notice other changes get.
- Check its results with extra care before you rely on them.
- Separate conditions can apply and are shown when you switch the feature on.
- Feedback you send about it follows section 19.
22. Availability, maintenance and force majeure
We aim to keep Fisqoo available, but we do not promise uninterrupted or error-free operation. Maintenance, a failure at a hosting or network provider, or a force majeure event can interrupt it. We do not offer a service credit unless we have agreed one with you in writing.
A force majeure event is a cause outside our reasonable control, including a failure of a hosting, network or payment provider, a law that stops the service, or a widespread outage we did not cause. We tell you when we can. The time for performance is extended for as long as the event lasts. This does not change the liability limits in section 25.
- We plan maintenance to be short and, when we can, outside busy hours.
- We work on an incident until the service is back, and we tell you when we can.
- There is no promised service level unless we have agreed one with you in writing.
- During a force majeure event our obligations pause for as long as the event lasts.
23. Ending the contract
You end it by cancelling, as in section 8. We may end it by written notice if you materially break these terms and do not fix the break within 14 days of us asking, or immediately if you break section 17, or if we are required to stop by law. On ending, your access stops at the time section 8 or this section says. Export your data before the account is deleted. The privacy notice describes the deletion window.
- You end the contract by cancelling. Access continues until the end of the period already paid, unless we end it sooner for a break of these terms.
- We give 14 days to fix a material break, except for section 17 or a legal duty to stop, which can be immediate.
- Export before deletion. After the window in the privacy notice, the account content is deleted.
The sections that by their nature continue apply after the end: section 13 for as long as content remains in a backup, section 14 until deletion completes, and sections 19, 20, 24, 25, 27 and 28, together with any payment already due.
24. Indemnity
You will compensate us for the loss, damage and reasonable costs, including reasonable legal costs, that a third-party claim causes us, where the claim arises from your content, from your breach of these terms, from your breach of the law in using the service — including tax, invoicing and marketing rules — or from the access you gave a collaborator or a client. We tell you about the claim promptly, we do not settle it without consulting you, and you cooperate reasonably in its defence. This section does not cover the part of a claim caused by our own breach of these terms.
- Every customer owes this indemnity, because every customer is a business.
- Triggers: your content, your breach of these terms or of the law, or the access you granted.
- We tell you promptly and do not settle without consulting you. You cooperate reasonably.
- The part of a claim caused by our own breach stays ours.
25. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the law does not allow us to limit.
Subject to that, we are not liable for loss of profit, revenue, goodwill or anticipated savings, or for indirect or consequential loss. We are not liable for tax, interest, penalties or a rejected e-invoice that comes from the content you submitted, from a figure you did not check, or from your reliance on AI output.
Subject to that, our total liability arising out of these terms in any 12-month period is limited to the fees you actually paid us in that period. If you have paid nothing yet, the limit is the fees payable for one month of the plan you selected.
- No limit on death or personal injury caused by negligence, on fraud or fraudulent misrepresentation, or on any liability the law does not allow us to limit.
- No liability for loss of profit, revenue, goodwill or anticipated savings, or for indirect or consequential loss.
- No liability for tax, interest, penalties or a rejected e-invoice that comes from content you submitted, from a figure you did not check, or from reliance on AI output.
- Otherwise, the cap in any 12-month period is the fees you actually paid us in that period, or one month of the plan you selected if you have paid nothing yet.
26. Complaints
If something goes wrong, write to support@fisqoo.com from the account email and describe what happened. We answer as soon as we reasonably can and we try to fix a real problem without formality. We are not signed up to an alternative dispute resolution scheme and the law does not oblige us to use one. Going to court follows section 28.
- Write to support@fisqoo.com from the account email, with what happened and when.
- We answer as soon as we reasonably can.
- We are not subscribed to an alternative dispute resolution scheme, and the law does not oblige us to be.
- This section does not limit a data-protection complaint to the ICO, the Garante or the AEPD, described in the privacy notice.
27. The whole agreement, changes and general terms
These terms, the privacy notice and the cookie notice are the whole agreement about Fisqoo. If a translation conflicts with the English text, the English text prevails, except where a mandatory rule says otherwise.
We may change these terms. If the change is material and you have a paid subscription, we will tell you by email or in the product before it applies. If you do not agree, cancel before the change takes effect. Continuing to use Fisqoo after that date is acceptance. We will not use a silent change to reduce a liability cap for a claim that has already arisen.
- We may assign these terms to a buyer of the business. You may not assign them without our written consent.
- Notices to us go to support@fisqoo.com. Notices to you go to the email on the account, or inside the product. An email notice is treated as received on the next business day.
- If a clause is held invalid, the rest of these terms stay in force.
- Not enforcing a right once is not a waiver of that right.
- A delay caused by an event outside our reasonable control is not a breach for as long as the event lasts. Section 22 describes that.
- Nobody but the parties can enforce these terms.
- “Including” means including without limitation. Headings do not change the meaning of a section.
- You confirm you are not subject to a sanctions regime that forbids us to serve you, and you will not use Fisqoo in breach of export or trade restrictions.
28. Law and courts
- Governing law: the laws of Scotland.
- Courts: the Scottish courts have exclusive jurisdiction.
- If a translation conflicts with the English text, the English text prevails, except where a mandatory rule says otherwise. That rule is also in section 27.
These terms are governed by the laws of Scotland. The Scottish courts have exclusive jurisdiction. Fisqoo is offered only to businesses, not to consumers.
